Terms of service
The terms on which GoPortaly is provided during its free beta. GoPortaly is a product of Pragpath Studio and is meant for businesses.
Last updated: 23 October 2026
1. Provider and scope
GoPortaly is provided by Ardalan Ebrahimi, Pragpath Studio, c/o Impressumservice Dein-Impressum, Stettiner Str. 41, 35410 Hungen, Germany, info@pragpath.com (“we”). Full details are in the imprint.
These terms apply to every workspace created on GoPortaly and to everyone who uses one (“you”). The service is aimed at businesses (entrepreneurs within the meaning of § 14 BGB). Your own terms do not apply, even if we do not object to them.
2. The service
GoPortaly is an online business workspace covering products and inventory, customers, quotes and sales orders, purchasing and goods receipt, reports, and a simple online shop at {name}.goportaly.com through which your customers can send you orders. The shop takes no payments.
GoPortaly is not an accounting, tax or HR system and does not replace records you are legally required to keep.
3. Free beta, no service level
The beta is free of charge. No payment details are collected and no payment provider is connected.
Because it is a beta, the service changes often; features may be added, changed or removed, and parts of it may be unavailable or contain errors. There is no availability commitment or service level. Keep your own copies of records you cannot afford to lose.
If we ever introduce paid plans, we will tell you by email at least 30 days in advance. Nothing becomes chargeable without your explicit agreement; if you do not agree, you can export your data and close the workspace.
4. Your account
The details you give when signing up must be accurate. Keep your password secret; you are responsible for what is done through your account and through the accounts of people you add to your workspace.
GoPortaly does not send email during the beta, so there is no automated password reset. If you lose access, write to info@pragpath.com from the email address of the account and we will help you regain it after checking that the request is yours.
5. Your content, your shop and your legal texts
You are responsible for everything you put into GoPortaly and publish through your shop: product descriptions, prices, images and other content must be lawful and must not infringe the rights of others.
You are the seller in your shop. Contracts with your customers are between you and them. You are responsible for your own legal notice, privacy policy, terms and any withdrawal information, and for meeting the obligations that apply to your sales. The shop offers fields to link or enter these texts; we do not review them.
The content stays yours. You grant us only the rights needed to store, process and display it in order to provide the service.
6. Acceptable use
If there are concrete indications of a breach, we may block content or suspend access, as far as necessary, and will tell you why. Where possible we will first ask you to remedy the problem.
- Do not use the service for anything unlawful, or to store or publish content you have no right to.
- Do not try to reach another workspace’s data, bypass access controls, probe or overload the service, or disrupt it for others.
- Do not resell or rebrand the service as your own.
7. Processing on your behalf (Art. 28 GDPR)
Personal data in your workspace and the orders your customers place in your shop are processed by us on your behalf. You are the controller; we are the processor. This section forms the data processing agreement between us.
- Subject and duration: providing GoPortaly for as long as your workspace exists.
- Data and data subjects: contact and order data of your customers, suppliers and staff that you or your shop enter (names, email addresses, phone numbers, addresses, order contents).
- We process the data only on your documented instructions — given by how you use the service and by email — unless the law requires otherwise.
- Everyone with access is bound to confidentiality. We take appropriate technical and organisational measures (Art. 32 GDPR), including encrypted connections (TLS), hashed passwords, separation of workspaces and access limited to what is needed to operate the service.
- Sub-processor: Microsoft Ireland Operations Ltd. (Azure hosting and database, region West Europe). You agree to its use. We will inform you in advance of any new sub-processor; you may object for good cause.
- We support you in answering data subject requests and meeting your duties under Art. 32–36 GDPR, and will inform you without undue delay of a personal data breach affecting your data.
- When the workspace is closed we delete the data, after offering an export, unless the law requires us to keep it. We provide the information needed to show compliance with this section on request.
8. Your data: export and deletion
You can export lists and reports from within the workspace. On request to info@pragpath.com we will also provide an export of your workspace data in a common machine-readable format, and delete the workspace and its data.
9. Liability
We are liable without limitation for intent and gross negligence, for injury to life, body or health, and under the Product Liability Act (ProdHaftG).
For simple negligence we are liable only for breach of an essential contractual obligation — one whose fulfilment makes proper performance of the contract possible in the first place and on which you may regularly rely — and then only for the foreseeable damage typical of this kind of contract. Otherwise liability for simple negligence is excluded.
These limits also apply to the personal liability of our representatives and assistants.
10. Term and termination
The contract runs for an indefinite period. You can end it at any time by asking us to close your workspace by email to info@pragpath.com. We can end it with 30 days’ notice by email, for example when the beta ends; the right to terminate for good cause remains unaffected.
Before a workspace is closed you can request an export of your data (section 8).
11. Changes to these terms
We may change these terms if the service or the law changes. We will email you the changes at least 30 days before they take effect. If you do not object within that period, the new terms apply; we will point out this consequence in the email. If you object, either side may end the contract.
12. Final provisions
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. If you are a merchant (Kaufmann), a legal entity under public law or have no general place of jurisdiction in Germany, the place of jurisdiction is our place of business. Should a provision be invalid, the rest remains effective.
